1. Website operator

This website is operated by Nodi Automation Limited. Sydinoz is the industrial automation software brand and product family it develops, operates and licenses.

2. Business and professional use

This website is primarily intended for business, engineering and professional users. If any non-excludable consumer-protection law applies, those statutory rights are not excluded by these terms.

3. No online order

This website does not provide online payment or automatic ordering. Selecting configurations, adding them to the cart, generating a budget quote, creating an account or submitting a formal-quote request does not create an order, sales contract or payment obligation.

A binding transaction arises only after Nodi Automation Limited issues a written official quote, order confirmation or contract and the relevant parties accept it under its stated terms.

4. Pricing, availability and sales regions

Website prices are budgetary list prices only. Final pricing, discounts, taxes, bank charges, payment, delivery, license scope and support terms are governed by the formal written documents.

The website may be accessed globally and may accept inquiries, but this does not mean products can be sold or delivered in every country or region. We may confirm, restrict or decline a transaction based on trademark, export-control, sanctions, tax, data-protection or other compliance requirements.

5. Account responsibility

• Registration information must be accurate and use an email address you are authorized to use.
• You must protect your login credentials and notify us promptly of unauthorized use.
• Accounts, forms and website functions must not be used for attacks, automated abuse, impersonation, fraud or unlawful activity.

6. Downloads, trials and software licensing

Software licenses are perpetual for the licensed versions and apply to one physical or virtual host. Each product is licensed separately; additional hosts require separate licenses. One licensed Studio workstation may develop multiple projects without purchasing Studio again for each project. Host binding and migration arrangements are specified in the formal quote or contract.

Dashboard is licensed by server host and runtime-point capacity, with no additional license charge per browser client. Concurrent access and performance depend on the validated deployment. Enterprise has no commercial point-count cap; this does not mean unlimited hardware capacity, concurrency or included redundancy.

New licenses include 12 months of version updates and standard remote support during the agreed business hours. Subsequent annual maintenance is optional and costs 15% of the net software license price actually paid; not renewing does not stop use of the versions already licensed. Support scope, business hours, renewal and reinstatement conditions are specified in the formal quote. Project engineering, on-site commissioning, dedicated training, custom protocols and 24-hour response are quoted separately.

Capacity or edition upgrades for the same product on the same host credit the amount actually paid for the original license against the current price of the higher tier; the balance and eligibility are confirmed in the formal quote. Third-party AI model usage, separately licensed components, hardware and implementation services are excluded unless expressly included in the formal quote. License binding, migration and upgrades must also be supported by the installed software version.

New selections and budget quotes use the current catalog prices. Previously issued quote snapshots retain their recorded prices and validity; existing license rights and accepted commercial commitments are not changed retroactively. Volume, partner and promotional discounts are not automatically combined; any combined arrangement requires written confirmation in the formal quote.

Only published, available product installers appear in the public download lists, with release notes and SHA256 values. Downloading does not grant a paid license. Local test files are labeled and do not constitute delivery of an installable product.

Each product starts its own continuous 30-calendar-day trial when its trial license is first successfully activated. Installation alone does not start the clock. Initialization failure after activation, shutdown, sleep and computer restart still count. Starting one product does not start another product’s trial.

Trials include all existing Enterprise features of the product. Operations, Dashboard and Gateway have no commercial point limit during trial; Studio has no commercial project-count or engineering-tag quota. Unlimited capacity does not mean unlimited hardware performance or free third-party AI calls. Gateway does not include AI or voice.

A valid paid license takes precedence: its edition and capacity apply and no new trial starts. Ordinary reinstallation, repair and minor updates do not grant another 30 days.

At trial expiry the product and its own services close automatically. Unsaved content is not saved automatically and no recovery copy is created. Save your work and activate a paid license in time. Without a valid license, business use remains blocked after expiry; after formal activation you can continue under that license.

The software provides the AI assistant; you configure a supported model service yourself. Cloud models may require internet access and third-party fees. The software trial does not include free third-party model credits.

Offline voice input and output are separate from the AI model service. Offline voice does not mean every AI model can run offline.

7. Intellectual property

Unless stated otherwise, the Sydinoz brand, product names, text, interfaces and proprietary software content on this website are owned by Nodi Automation Limited or its licensors. They may not be copied, misrepresented, imitated, stripped of rights notices or used in a way that could cause confusion about source, affiliation or endorsement without written permission.

8. Availability and information

We take reasonable steps to maintain the website and accurate information, but the site may be interrupted for maintenance, security or technical reasons. Product capabilities, versions and roadmap information may change. Formal commercial commitments exist only in written documents accepted by both parties.

9. Website information and limitation of liability

Website materials are provided for general product and planning information. To the maximum extent permitted by applicable law, Nodi Automation Limited is not liable for indirect, incidental, special or consequential loss arising solely from use of or reliance on this website. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

10. Changes to these terms

We may update these terms by posting a revised version and updated date on this page. Changes apply prospectively from publication unless applicable law requires otherwise.

11. Governing law and contact

This website and these terms are governed by the laws of the Hong Kong Special Administrative Region, without limiting any applicable non-excludable mandatory law. Questions may be sent to [email protected].
